These Terms of Service (“Terms”) govern your access to and use of the zenimate website and cloud-based software services operated by 1494844 B.C. LTD. (“zenimate,” “we,” or “us”). By accessing or using the zenimate website or platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our services.

1. Who We Are

zenimate is a software analysis platform that helps software teams generate context-aware task estimates. We offer both a standard cloud-hosted version and an optional Virtual Private Cloud (VPC) version hosted in your infrastructure.

2. Use of Our Services

You must be at least 18 years old and authorized by your organization to access and use our services. All use must comply with these Terms and applicable laws.

Access to zenimate may be provided through a free trial, pilot project, or a paid subscription governed by a separate Cloud Service Agreement. These Terms supplement, but do not override, the terms of any signed agreement.

3. User Responsibilities

You are responsible for:

• Keeping login credentials secure

• Ensuring your use complies with applicable laws

• Not uploading prohibited or sensitive data (e.g., personal health information, government ID numbers, or financial data)

zenimate is not currently HIPAA, ISO, or SOC 2 compliant. Do not use the platform to store regulated PII or confidential personal data.

4. Customer Data & Privacy

We collect limited business and usage information as described in our Privacy Policy.
We may use de-identified and aggregated data to improve our services and train AI/ML models. We do not sell customer data.

For deployments in a VPC environment, your data does not leave your infrastructure unless otherwise agreed.

5. Intellectual Property

All intellectual property in the zenimate platform, including software, algorithms, and documentation, remains our exclusive property. You may use it only as permitted by your subscription and these Terms.

6. Service Availability & Disclaimers

We strive to maintain reliable service, but do not guarantee uptime or uninterrupted access. We may suspend service for maintenance, security, or misuse.

Our services are provided "as is" without warranties of any kind. We do not guarantee that the platform will meet your needs or that estimates will be accurate.

7. Limitation of Liability

To the maximum extent permitted by law, zenimate is not liable for indirect, incidental, or consequential damages. Our total liability under these Terms is limited to the amount paid (if any) for your most recent Subscription Period.

8. Termination

We may suspend or terminate access if you breach these Terms or misuse the platform. Upon termination, your data will be deleted in accordance with our Privacy Policy and Cloud Service Agreement.

9. Governing Law

These Terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved in the courts of British Columbia.

10. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on our website with a revised “Last Updated” date. Continued use of our services after changes means you accept the revised Terms.
